INTRODUCTION
MAREMOSSO S.r.l. hereinafter referred to as “MAREMOSSO” or the “Company”, is a brand founded with the aim of promoting artisanal tradition and Made in Italy, with a particular focus on the quality of the fabrics used in the products it markets and on attention to detail.
MAREMOSSO considers the dignity and respect of the individual to be essential principles, together with adherence to standards of honesty, integrity, loyalty and fairness, which are fundamental elements for establishing a climate of mutual trust.
In this perspective, MAREMOSSO has chosen to adopt this Code of Ethics, which constitutes an essential reference for all parties operating within the Company’s sphere of activity.
The corporate bodies, management, employees, third parties and every individual involved in the Company’s activities hereinafter referred to as the “Recipients” are required to comply with the principles set out herein, in accordance with their respective roles, duties and responsibilities.
PHILOSOPHY AND VALUES
MAREMOSSO bases its corporate culture on fundamental values, which are reflected in the following key principles: the protection of the dignity and moral integrity of the individual, through the prevention and rejection of any form of discrimination based on gender, age, sexual orientation, ethnic origin, socio-economic condition, religious or political beliefs and trade union membership.
The Company also protects the contractual rights and duties of workers, ensuring remuneration and working conditions that comply with applicable laws and regulations; promotes high professional standards; is constantly committed to protecting health and safety in the workplace; and strictly prohibits the use of child labour, except in full compliance with the relevant legal provisions.
MAREMOSSO is committed to respecting the environment by adopting sustainable business choices that balance economic development with environmental protection.
The Company also protects its own industrial and intellectual property rights, as well as those of third parties, ensuring compliance with national, European Union and international regulations in this field.
PROTECTION OF THE HUMAN FACTOR
MAREMOSSO undertakes to establish working conditions that protect the physical and psychological integrity of workers and respect their personality. For this reason, the Company expressly prohibits any discriminatory practice.
The Company safeguards the moral integrity of its workers and/or collaborators and also guarantees working conditions that respect the dignity of the person.
Acts and attitudes involving psychological violence, discrimination or any conduct that may harm the individual, their preferences, beliefs or violate applicable laws, including privacy regulations, are not permitted.
Likewise, sexual harassment in any form is not tolerated, including statements that may in any way disturb the sensitivity or sense of decency of workers and/or collaborators.
PROTECTION OF HEALTH AND SAFETY IN THE WORKPLACE
MAREMOSSO promotes the consolidation of a culture of health and safety for workers and/or collaborators, encouraging responsible individual behaviour.
Each employee and/or collaborator is required to scrupulously comply with all safety and hygiene measures prescribed by applicable legislation, in particular the provisions set out in Italian Legislative Decree no. 81/08, in order to protect their own safety as well as that of colleagues and third parties.
ENVIRONMENTAL PROTECTION
Respect for the environment is a primary value for MAREMOSSO. Therefore, business choices and work activities must comply with the principles of balance between economic initiatives and environmental needs, in full compliance with applicable environmental protection regulations and with the aim of reducing waste.
Every corporate decision must be guided by compatibility between economic development and environmental protection.
PROTECTION OF INDUSTRIAL AND INTELLECTUAL PROPERTY
MAREMOSSO acts in full compliance with industrial and intellectual property rights legitimately held by the Company itself and by third parties, as well as with laws, regulations and conventions, including those at European Union and/or international level, protecting such rights.
To this end, the Recipients must: refrain from any conduct that may constitute unlawful appropriation of industrial property rights, alteration or counterfeiting of distinctive signs of industrial products, or of patents, designs or industrial models, whether national or foreign, or infringement of works protected by copyright; refrain from importing, marketing, using or otherwise circulating industrial products resulting from counterfeiting, trademark infringement or copyright infringement.
Furthermore, any use of the Company’s trademarks and works must be previously authorised and regulated by specific agreements.
RELATIONS WITH SUPPLIERS
The principles set out in this Code of Ethics also apply, where applicable, to relations with suppliers.
This means that such relations must generally be based on mutual fairness and trust and that suppliers must accept and share the principles of the Code of Ethics, particularly with regard to fair relations with their own personnel.
The Company also reserves the right to carry out checks on suppliers in order to ensure respect for workers’ fundamental rights, safety and the environment.
SUPPLIERS’ COMMITMENT
Suppliers undertake to support the human rights of workers, to treat them with dignity and respect, and to act with integrity.
Suppliers also undertake to demonstrate their commitment by allocating appropriate resources to comply with ethical principles, as well as to identify and comply with applicable laws, regulations, standards and customer requirements.
In all cases, MAREMOSSO encourages and requires its suppliers to adopt an approach aimed at promoting compliance with applicable regulations, laws and best practices throughout the entire supply chain.
RELATIONS WITH THIRD PARTIES
The performance of any Company operation or activity must be based on the principles of legality, integrity, loyalty, transparency, collaboration and social responsibility.
The Recipients are required to act in full compliance with the rules and laws in force, as well as with this Code of Ethics and the Company’s internal provisions.
PREVENTION OF ILLEGAL LABOUR INTERMEDIATION AND LABOUR EXPLOITATION
Every employment relationship, whether self-employed or subordinate, is always regulated, and individual skills and abilities constitute the fundamental criteria for the assignment of corporate roles and duties.
Employment relationships are governed by contracts that comply with applicable laws and regulations.
The selection of suppliers and the definition of purchase conditions for goods and services for the Company are inspired by respect for the values of competition, objectivity, fairness, impartiality, fair pricing, quality of the goods and/or services, as well as ethical principles concerning health and safety protection and respect for the environment.
Any commercial relationship with a supplier must always be based on utmost clarity, avoiding, where possible, the assumption of contractual obligations that may create forms of dependency on the supplier.
Furthermore, in order to ensure respect for the individual and to condemn all forms of exploitation, the Company adopts criteria that guarantee compliance with labour regulations and workers’ protections.
RELATIONS WITH CUSTOMERS
The Company aims to pursue customer satisfaction, both in terms of product quality and service excellence.
The Company is attentive to customer requests and takes into consideration any suggestions or complaints.
RELATIONS WITH COMPETITORS
In carrying out its activities, the Company respects market rules and refrains from any conduct or commercial practice that may harm free competition in the sector.
The Company recognises the value of competition and undertakes not to engage in unfair conduct towards competitors.
In this regard, all collaborators and employees are committed to strictly complying with sector-specific legislation.
The marketing of MAREMOSSO products is carried out in compliance with applicable legislation protecting trademark rights, patents, industrial designs and models, and distinctive signs in general.
RELATIONS WITH THE PUBLIC ADMINISTRATION
Relations with offices and representatives of the Public Administration must always be managed and conducted in strict compliance with the rules established by laws and regulations, and in such a way that no violation of the principles contained in this Code of Ethics may arise from such relations.
It is expressly forbidden to promise, pay or grant sums of money, goods in kind or other benefits, including on a personal basis or through third parties, with the aim of favouring the interests of the Company.
It is also forbidden to obtain confidential information or attempt to establish personal relationships of favour, interference or influence that may directly or indirectly affect the outcome of relations with Public Officials.
ANTI-CORRUPTION
MAREMOSSO rejects and condemns all forms of corruption, incitement to corruption, undue inducement to give or promise benefits, and trading in unlawful influence.
The Company promotes an ethical environment that complies with international best practices.
PREVENTION OF MONEY LAUNDERING AND SELF-LAUNDERING
MAREMOSSO operates in accordance with the principle of maximum transparency in commercial and financial transactions and implements the most appropriate tools to prevent money laundering, self-laundering and the reuse of proceeds from unlawful activities, both nationally and internationally, in full compliance with applicable laws.
It is forbidden to replace or transfer money, goods or other benefits deriving from unlawful activities, or to carry out any other transactions in relation to them in such a way as to obstruct the identification of their origin.
In addition, it is not permitted to purchase goods which, due to the conditions of the offer, may give reason to doubt the lawfulness of their origin, nor to maintain economic relations with parties in respect of whom there is reasonable ground to believe that they are engaged in unlawful activities.
All financial transactions, as well as all incoming and outgoing movements of money, are carried out by authorised persons and are always traceable and recorded.
CONFLICT OF INTEREST
MAREMOSSO’s activities are conducted according to principles of integrity, fairness, loyalty and transparency.
Under no circumstances may individual or personal interests prevail to the detriment of the Company’s interests.
In the event of a conflict of interest, the Company undertakes to manage the situation in compliance with the law, internal governance rules and the principle of transparency.
Members of the corporate bodies and, more generally, management must act with autonomy and independence in their relations with Public Institutions, economic and political institutions, as well as with any other natural or legal person.
PROTECTION OF CONFIDENTIAL INFORMATION AND PRIVACY
MAREMOSSO undertakes to process personal data and confidential information, where collected in the course of its activities, in compliance with applicable laws, current regulations and best practices, ensuring the confidentiality and security of information acquired in the context of corporate activities.
VIOLATIONS OF THE CODE
Compliance with the principles and rules of this Code of Ethics constitutes an essential and integral part of the contractual obligations of employees and/or collaborators, third parties and directors of the Company.
Therefore, any violation of the provisions set out above shall constitute a breach of the obligations arising from the employment or collaboration relationship, or a disciplinary offence, with all legal or contractual consequences, including termination of the contract or appointment and any claim for damages.
With regard to self-employed workers and third parties, violation of the provisions and principles contained in this Code of Ethics may also result in termination of the contract pursuant to Article 1453 of the Italian Civil Code, in addition to any claim for damages.
ACCOUNTING INFORMATION
In preparing the financial statements and any other accounting documentation, MAREMOSSO complies with applicable laws and regulations, adopts generally accepted accounting practices and principles, and is guided by the principle of transparency, faithfully representing management facts according to criteria of clarity, truthfulness, completeness and accuracy.
